This Service Agreement (“Agreement”) is entered into between the undersigned client (“Client”) and LocalFlare (“Service Provider”). By signing up for the free trial and/or continuing with the paid subscription to LocalFlare’s review management system, the Client agrees to the following terms and conditions:

1. Free Trial Period

: The Client is entitled to a 14-day free trial, which will begin only after all necessary signage is printed and the system is fully set up. During the trial period, the Client may cancel at any time without incurring any fees.

2. Paid Subscription

: Following the trial period, unless canceled, the Client will automatically be enrolled in the paid subscription at a rate of $197 per month. Billing will commence on the first day after the free trial ends. The Client will be charged every 30 days unless the service is paused or canceled by contacting LocalFlare directly.

3. Cancellation and Termination

: The Client may cancel or pause the service at any time by contacting LocalFlare directly. No further charges will be incurred after the current billing cycle ends. No refunds will be issued for any prior charges. The Service Provider reserves the right to terminate or suspend the service at any time for any reason, with or without notice.

4. Client Responsibilities

: The Client is solely responsible for ensuring compliance with all applicable local, state, and federal laws regarding customer communications, marketing practices, and promotional offers. The Service Provider assumes no responsibility for any misuse of the system or any legal issues that may arise from the Client’s use of the service.

5. Limitation of Liability

: The Client agrees that the Service Provider shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or inability to use the service. This includes, but is not limited to, loss of business, data, profits, or reputation.

6. No Guarantees

: The Service Provider does not guarantee specific results regarding customer reviews, rankings, or business outcomes. The success of the review system depends on multiple factors outside of the Service Provider’s control, and the Client acknowledges that any claims or estimates provided are for illustrative purposes only.

7. Indemnification

: The Client agrees to indemnify and hold harmless the Service Provider, its affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses (including attorney’s fees) arising from the Client’s use of the service or any breach of this Agreement.

8. Governing Law

: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Service Provider operates, without regard to conflict of law principles.

9. Modifications

: The Service Provider reserves the right to modify this Agreement at any time. Any such modifications will be effective immediately upon notice to the Client, which may be provided by email or through the service platform.

By signing up for the free trial or continuing with the paid subscription, the Client acknowledges that they have read, understood, and agreed to all terms and conditions outlined in this Agreement.
